Definitions
- "Seller" means Americanino Limited T/As Mr Memory.
- "Buyer" means any person, company or organisation who buys or has agreed to buy Goods from the Seller.
- "Consumer" means an individual Buyer who is acting for purposes wholly or mainly outside that individual's trade, business, craft or profession.
- "Business Buyer" means any Buyer who is acting for purposes relating to their trade, business, craft or profession, including companies, partnerships, sole traders, and other organisations.
- "Goods" or "Product" means Goods provided by the Seller in accordance with the Seller's standard Terms and Conditions of sale.
- "Working Days" means Monday to Friday (excluding UK public holidays).
- "In Writing" includes email and other forms of written electronic communication, excluding social media messages.
Scope and Application of These Terms
- These terms and conditions apply to all sales by the Seller whether to Consumer or Business Buyers.
- Certain sections apply only to Consumers or only to Business Buyers. Where this is the case, it will be clearly stated.
For Consumers:
Nothing in these terms affects your statutory rights under the Consumer Rights Act 2015, including your rights to goods that are of satisfactory quality, fit for purpose, and as described.- These terms apply to sales for delivery worldwide. Where international sales involve additional terms (such as customs duties, import taxes, or different cancellation rights), these will be clearly communicated during the ordering process.
- If any conflict arises between these terms and mandatory consumer protection laws in the Buyer’s country of residence, those laws will take precedence.

General
- The purchase of Goods through this website is governed by these terms and conditions. By accessing the site, you agree to be bound by these terms and conditions.
- The information contained within this website and online store is, to the best of our knowledge, correct at the time of publishing. We make every effort to ensure prices and details are accurate but reserve the right to change information without notice.
- All products on this website are sold by Americanino Limited T/As Mr Memory (mrmemory.co.uk). Americanino Limited is a limited company and registered in England (Reg. Number 02012072). The registered office address is: D3 Yeoman Gate, Yeoman Way, Worthing, West Sussex, BN13 3QZ, UK.
Orders and Acceptance
- After you place an order, the Seller will determine whether to accept and fulfil the order. By placing an order, you agree to accept all terms and conditions shown anywhere on this site, including the Seller's standard terms and conditions of sale. Before acceptance, the Seller reserves the right to refuse or limit orders for legitimate reasons including credit review, product unavailability, pricing errors, product description errors, or suspected fraudulent activity. Once an order is accepted and confirmed, a binding contract is formed.
Contract Formation:
- The display of products on our website constitutes an invitation to treat, not an offer to sell.
- By placing an order, you are making an offer to purchase goods subject to these terms and conditions.
- A binding contract is only formed when we send you an Order Acceptance email confirming we have accepted your order, and it is being processed, or when we dispatch the goods to you (whichever occurs first).
- Any automated order confirmation or payment receipt you receive is acknowledgment of your order only, not acceptance. It does not constitute a binding contract until we send an Order Acceptance email or dispatch the goods.
Delivery
- Delivery times quoted are only estimates, and the Seller shall not be liable for any delays howsoever caused.
- Unless otherwise specifically stated in writing all risk in the product shall pass to the Buyer or its appointed agent at the time of delivery.
For Business Buyers:
Non-delivery must be notified within 14 calendar days of the expected delivery date.For Consumers:
Please notify us of non-delivery as soon as reasonably possible after the expected delivery date.- The Seller will not be held liable for non-delivery of goods due to an incorrect address being provided at point of order. In this instance, please see section 7 (Damage or Loss in Transit).
Damage or Loss in Transit
- Goods are shipped via Royal Mail or courier service, which includes insurance cover against loss and damage during transit. Once the goods have been received and signed for, this insurance cover is no longer effective; responsibility is then passed to the signatory. Where possible the Buyer should check the condition of the delivery before signing.
- Any damage to received goods should be notified in writing within three days of receipt.
- The Seller will not be held liable for claim, whether arising in contract, tort or otherwise for the consequential, economic, special or other indirect loss, due to damages or loss in transit.
- The Seller will not be held liable for loss of goods due to an incorrect address being provided at point of order.
- Any refunds requested by the buyer for non-delivery of their order due to an incorrect address being entered will only be processed as and when the goods are received back by the Seller. Furthermore, the Seller will not be liable if the goods are deemed to be completely lost as a result of the incorrect address being stated.
- When the Buyer selects a signed-for delivery service and there is no signee at the delivery address the Seller cannot be held liable for any additional delivery costs incurred by the delivering company. This cost will be payable by the buyer.
- For undelivered shipments sent with Royal Mail to a UK address, the Seller is unable to take further action until 10 working days have passed since the date of dispatch.
- For undelivered shipments sent with Royal Mail to an address outside the UK, the Seller is unable to take further action until 14 working days have passed since the date of dispatch.
- For undelivered shipments sent using a courier service, the Seller will take action as soon as the guaranteed or estimated delivery time for the chosen service has passed.
Payments
- All goods must be paid for with the order, unless prior arrangements have been made. We reserve the right to refuse delivery if payment is not made. All goods remain the property of the Seller until payment is made in full. All rights including without limitation copyright, design and trademark rights on the website are owned by the Seller.
Credit Terms (Business Buyers Only):
- The credit terms (if offered) are 30 days net from the date of invoice.
- Where payment is not made in accordance with the terms above, the Seller is entitled to charge interest and compensation in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 at the rate of 8% plus the Bank of England base rate, plus fixed compensation (£40 for debts under £1,000; £70 for £1,000-£9,999; £100 for £10,000+).
- The Seller reserves the right to suspend deliveries where payment is not received in accordance with these Terms and Conditions of Sale.
- The Seller reserves the right at the Seller's complete discretion to refuse to establish a credit account for any Buyer, to refuse credit to a Buyer, notwithstanding that a credit account may already have been established, and to withdraw credit account facilities, without prejudice to the Sellers other rights.
- The Seller reserves the right to charge £20.00 for all unpaid items either returned or represented at the company's bank. Any outstanding account will become immediately due for payment.
- Where the Buyer alleges that any use of the Payment Card was not authorised, it is for the card issuer to prove that the use was so authorised.
Prices
- Unless otherwise stated or selected, any product prices quoted by the Seller, shown on mrmemory.co.uk and subsequent emails are:
- Exclusive of value added tax.
- Exclusive of carriage, duties, customs, insurance and other related charges – for which the Buyer is liable, not the Seller.
VAT (Value Added Tax):
- For orders delivered to UK addresses, we are required by UK law to collect VAT. All prices shown are exclusive of VAT unless stated otherwise.
- Delivery charges are subject to VAT as they include processing and packaging costs.
- The rate of VAT charged is determined by the delivery country and applicable tax regulations.
- For international orders: Unless stated at checkout, import tax and duty are not collected by the Seller. The courier or your local postal service will contact you for payment of any import tax and duty due before releasing your order for delivery.
Price Fixing and Variations:
- For Consumers: The price for goods is fixed at the time of order acceptance and will not be changed, except to correct obvious pricing errors notified to you before dispatch.
- For Business Buyers: Prices quoted are valid for 48 hours from quotation. After order acceptance, prices may only be varied where the Seller has incurred increased costs due to:
- Currency exchange rate changes exceeding 5%
- Import duty changes
- Increased freight charges beyond the Seller's control
- Manufacturer price increases for goods ordered but not yet delivered
Price Matching and Variations (applies to all Buyers):
The Seller retains the right to alter website advertised prices. A lower price may be offered if trying to secure business by beating a competitor's price. A higher price may be charged if supplying an alternate/specific manufacturer, this may be in relation to fulfilling a request for brands such as HP, IBM or Kingston branded memory, or for matched memory in relation to specific brands such as Dell, Fujitsu-Siemens, Apple etc. of a higher specification than those listed on our website.Pricing Errors:
The Seller reserves the right to correct obvious pricing errors (such as incorrect decimal points or missing digits) before acceptance of an order. Where a pricing error is discovered after acceptance but before dispatch, we will notify the Buyer and offer the choice to proceed at the correct price or cancel the order for a full refund.International Sales – Import Duties and taxes:
- For deliveries to addresses outside the UK, import duties, customs charges, and taxes may apply as determined by the destination country.
- Where available and selected at checkout, we offer Delivered Duty Paid (DDP) shipping. With DDP, all applicable import duties and taxes are calculated and collected at the time of purchase.
- For non-DDP shipments, the Buyer is responsible for all import duties, customs charges, taxes, and clearance fees imposed by the destination country.
- The courier or postal service will typically contact the Buyer to collect any duties/taxes before releasing the shipment for delivery (for non-DDP shipments). Refusal to pay these charges may result in the goods being returned to the Seller, and the Buyer will be liable for return shipping costs and any reduction in value of the goods.
- The Seller will provide any required documentation to facilitate customs clearance but cannot be held liable for customs delays in the destination country.
Title and Risk
- Notwithstanding delivery and passing of risk, the property of the Goods shall not pass to the Buyer until the Seller has received all monies owed by the Buyer under this or any other contract.
- Until such time as the property of the Goods passes to the Buyer, the Buyer shall hold the Goods as the Sellers Fiduciary Agent and shall keep the Goods properly stored, protected and insured and identified as the Seller's property and bear the costs thereof.
- In the event of termination of this agreement by reason of non-payment by the Buyer of amounts due under this contract or any other contract between the Buyer and the Seller made prior to the date of this contract, the Seller shall be entitled at any time to require the Buyer to return the Goods to the Seller, and if the Buyer fails to do, to enter any premises of the Buyer for the purpose of repossessing the Goods.
Cancellations and Returns
Important: The rights and obligations set out in this section vary depending on whether you are a Consumer or a Business Buyer.
Consumers have statutory cancellation rights under UK law.
Business Buyers do not have statutory cancellation rights - returns are at our discretion (see section 13b).
Consumers' Right to Cancel:
Statutory Cancellation Period - In line with The Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, you, the Consumer are entitled to cancel your order without providing a reason within 14 calendar days from the day after delivery of the goods.
Extended Cancellation for Computer Memory - For Computer Memory (RAM) upgrades (excluding Server RAM), Mr Memory offers an extended cancellation period of 30 days from the day after delivery, allowing you to cancel your order for any reason within this period.
How to Exercise Your Right to Cancel- The cancellation period starts from the day after you acquire, or a third party indicated by you (other than the carrier) acquires, physical possession of the goods.
- You may cancel your order by:
- Sending by post or email a WRITTEN notice of cancellation to the contact details shown at the bottom of this document
- Using the contact form at mrmemory.co.uk/contact (clearly stating you wish to cancel)
- By telephone, if that was the original method of placing the order
- You must obtain an RMA (Return Merchandise Authority) number from us so that incoming returns can be identified. Details of the return procedure will be provided with the RMA number, including how and where to return the order
- You must send the goods back no later than 14 days from the date of informing us of cancellation
Condition of Returned Goods:
- You may examine and handle goods to establish their nature, characteristics, and functioning, as you would be able to do in a shop. This includes:
- Opening packaging to inspect the product
- Physically checking the product
- Verifying compatibility and specifications
- Checking that all items are present
- If you handle goods beyond what is necessary to establish their nature, characteristics and functioning, we may deduct from your refund an amount that reflects any reduction in the value of the goods.
- Examples of handling beyond what is necessary include:
- Installing components in a computer and using them
- Removing protective seals, labels, or anti-static packaging unnecessarily
- Damaging retail packaging so the goods cannot be resold as new
- Using the product beyond checking it functions correctly
- Opening sealed products, software, DVDs, CDs, or memory cards
- Using software activation keys
- Packaging Requirements:
- You do not need to return goods in the original outer shipment packaging, but you must package them securely to prevent damage in transit
- For a full refund goods must be returned in original, undamaged retail packaging (including anti-static protection where relevant)
- Goods returned with damaged or missing retail packaging may be subject to reasonable deductions reflecting diminished resale value
- You may examine and handle goods to establish their nature, characteristics, and functioning, as you would be able to do in a shop. This includes:
Refunds and Deductions:
Within the 14-Day Statutory Period (extended to 30 days for non-server RAM)- If you return goods within 14 days (30 days for non-server RAM) and the goods are in the same condition as delivered (allowing for normal inspection), you will receive a full refund of the product price and standard delivery charges (UK/EU deliveries only). If you selected an upgraded delivery service, only the standard delivery cost will be refunded, not the upgrade charge.
- No restocking fees or administrative charges will be applied during the 14-day statutory period (30 days for non-server RAM).
- We may deduct from your refund an amount reflecting any reduction in value caused by handling beyond what is necessary, as explained in section 11b.iii above.
- We will assess returned goods and notify you of any proposed deductions before processing your refund. You will have the opportunity to dispute any deductions.
- For goods returned after the statutory period or extended period where relevant:
- A restocking fee of 10% of the net cost or £5.00 (ex VAT), whichever is greater, will apply
- Plus, any deductions for diminished value due to use or damage
- Goods that have been installed, used, or that have damaged packaging may be refused or subject to higher deductions at our discretion.
- Any refund will be processed upon receipt of the returned goods at our registered address, no later than 14 days from receiving the goods back.
- All refunds will be issued to the payment card or PayPal account that appears on the original invoice.
- Refunds via BACS transfer may incur additional charges to cover bank processing fees. We will make you aware of this before any refund is made.
Exceptions to the Right to Cancel:
Consumers do not have the right to cancel in the following circumstances:- Goods that have been made to the Buyers specifications or clearly personalised or clearly modified by the Seller or Buyer.
- Supply of goods that are dependent on fluctuations in the financial market, which cannot be controlled by the Seller.
- Sealed software, DVDs, CDs, memory cards where the seal has been broken or software activation keys have been used.
- Goods that have become mixed inseparably with other items after delivery.
Your Responsibilities During the Cancellation Period:
- You, the Buyer, have a duty to take reasonable care of the goods whilst in your possession.
- You are liable for any diminished value of the goods resulting from handling beyond what is necessary to establish their nature, characteristics and functioning.
- For UK addresses, a FREEPOST returns address will be provided with your RMA number. International returns are at your cost unless the return is due to an error by us.
Cancellation Rights
Consumers in the UK/EUThe cancellation rights described above apply in full, including refunds of standard delivery charges.
Consumers Outside the UK/EU- These UK regulations provide you with cancellation rights, but do not override any stronger consumer protection rights you may have under the law of your country of residence.
- Delivery charges will not be refunded for orders delivered outside the UK/EU.
- You are responsible for return shipping costs and any customs/import charges incurred during return.
- Refunds will be processed in GBP at the exchange rate applicable at the time of refund, which may differ from the rate at the time of purchase.
- Business Buyers do not have a statutory right to cancel orders once accepted by us.
- If you wish to return goods for any reason other than them being faulty, this is entirely at our discretion. Please refer to section 13b (Returns Procedure) which sets out:
- Our returns procedure for Business Buyers
- Restocking fees that will apply
- Conditions under which we may accept or refuse returns
- This does not affect your rights regarding faulty goods under the Sale of Goods Act 1979 or our warranty provisions in section 15.
Faulty Goods:
If goods are faulty, not as described, or not fit for purpose, different rules apply regardless of whether you are a Consumer or Business Buyer.- You have rights under the Consumer Rights Act 2015 (consumers) or Sale of Goods Act 1979 (businesses) to reject faulty goods, request repair, or obtain a refund.
- Please refer to section 12 (Defective Goods) and section 15 (Warranty) for full details of your rights regarding faulty goods.
Defective Goods
- The Seller's liability is strictly limited to replacement, repair, or credit to the invoiced value of defective items at the Seller's discretion. The Seller's maximum liability under or arising from this agreement shall be limited to a sum equivalent to the invoice price of the goods. The Seller shall not be liable for any claim, whether arising in contract, tort or otherwise, for consequential, economic, special or other indirect loss.
Exclusions and Limitations of Liability:
- Nothing in these terms shall exclude or limit the Seller's liability for:
- Death or personal injury caused by negligence
- Fraud or fraudulent misrepresentation
- Breach of the terms implied by section 12 of the Sale of Goods Act 1979 (title and quiet possession)
- Defective products under the Consumer Protection Act 1987; or
- Any other liability which cannot be excluded or limited under applicable law
- For Consumers: Nothing in these terms affects your statutory rights under the Consumer Rights Act 2015. Goods must be as described, fit for purpose, and of satisfactory quality. These statutory rights cannot be excluded or limited.
- For Business Buyers: Subject to clause 11b.i above, the Seller's liability for breach of the terms implied by sections 13, 14, and 15 of the Sale of Goods Act 1979 is limited to the invoice value of the defective goods.
- Nothing in these terms shall exclude or limit the Seller's liability for:
Returns Procedure
- If any Goods are or become defective in accordance with section 12 herein, the Buyer must obtain an RMA (Return Merchandise Authority) number from the Seller.
- The RMA number will be valid for a period of 14 days from the date of issue by the Seller for UK addresses and 21 days for International addresses.
- The Buyer may have to bear any losses due to price erosion or obsolescence if Goods are returned after the 14 days (21 for International).
- Any Goods returned must have the RMA number marked clearly on the package and must be returned in original packaging or equivalent secure packaging.
- The Seller reserves the right to refuse or delay processing of any goods returned without a valid RMA number, except where the return is made by a Consumer exercising their statutory right to cancel under the Consumer Contracts Regulations.
- It is the Buyers responsibility to ensure they are ordering the correct products. If the incorrect product has been ordered and the Buyer wishes to return the product after the cancellation period defined in section 9 above, we may accept the goods back at our discretion subject to a minimum restocking fee of 10% of the net cost, or £5.00 (ex VAT), whichever being the greater. The decision to accept a return outside the cancellation period and the restocking fee applied will be based on various factors including an administration fee and any diminished value of the goods, allowing for current market value and the condition of the goods.
- A FREEPOST returns address will be provided for Buyers in the UK only. Buyers outside the UK are responsible for return delivery costs unless the reason for return is due to an error by the Seller.
Technical Data, Errors and Descriptions
- Every effort will be made by the Seller to ensure accuracy of any technical data or literature made available in relation to the Goods. The Seller accepts no liability for any damage or injury arising from any errors or omissions in the use of such technical data to the Buyer or any third party. No contract can be invalidated due to printing or clerical errors. Any descriptions of Goods are for guidance only and shall not constitute the contract 'sale by description'.
- By placing your order, you agree that the Seller's total liability, under any legal theory or claim, shall be limited to the purchase price actually paid to the Seller for the product giving rise to the Seller's liability. Under no circumstances will the Seller be liable to the purchaser of any damage caused to equipment by products supplied by the Seller.
Warranty
- The Seller provides a lifetime warranty on Laptop and Desktop RAM Modules (memory modules) against faulty materials or workmanship.
- Server (ECC memory), flash memory, storage devices and all other products are subject to specific manufacturers warranties.
- During this period, the Seller will at the Seller's option either refund the price of such Goods or replace or repair such Goods provided that:
- The Buyer shall have notified the Seller in writing of the fault or defect in the Goods and shall have returned the faulty or defective goods to the Seller for inspection in accordance with the return's procedure in section 13 herein.
- The product has not been misused or handled carelessly.
- The product is certified by the company as being defective.
- The warranty claim is made by the original Buyer.
- The Buyer has not sold or given away the product.
- The purchase can be verified by the Seller's records or by a copy of the original invoice.
- Any original stickers remain on the Goods.
- This warranty is non-transferable and applies only to the original purchaser. If you sell or give away the goods, the warranty does not transfer to the new owner.
- For Consumers: This warranty is in addition to (not instead of) your statutory rights under the Consumer Rights Act 2015. Where goods are faulty at the point of delivery, you have rights under the Consumer Rights Act which run alongside this warranty.
- Goods supplied to the Buyer by the Seller must not be used in any medical or life critical applications by the Buyer or any other third party, without confirmation in writing by the Seller. All other warranties, conditions and statements expressed or implied, statutory or otherwise are excluded. Subject to the aforesaid the Seller shall be under no liability in contract or in tort for any loss, damage, death or injury arising directly or indirectly out of the supply, use or misuse of the Goods, to the Buyer or any other third party.
- The products are not authorised for use as critical components in life support devices or systems. Seller specifically disclaims all warranties, whether express, implied or statutory, including, but not limited to, the implied warranties of non-infringement, fitness for a particular purpose, or merchantability.
Limitations on Liability
- In no event shall the Seller be liable for any punitive, exemplary, special, consequential or incidental damages, including, without limitation, loss of revenue, profits, data, or good will that the Buyer may suffer, directly or indirectly, arising out of or in connection with the purchase, sale, use, performance, or failure of the products, whether such liability arises under contract, tort (including negligence), strict product liability or otherwise, even if the Seller has been advised of the possibility of such damage or if such damage could have been reasonably foreseen. In no event will the Seller's liability to the Buyer arising out of or relating to these terms and conditions of sale exceed the amount of the purchase price paid to the Seller by the Buyer for the product that gives rise to the claim.
- The Seller shall not be held liable for any costs incurred by the use of external support services by the Buyer.
Force Majeure
- The Seller and the Buyer shall be excused from failure or delivery in performance hereunder if such failure or delay is attributable to causes beyond their control, which makes such delivery of Products commercially impractical. Such causes may include, Acts of God, acts of war, riots, epidemics, fires, floods, strikes or labour disputes, inabilities to obtain materials, failures, delays in transportation or government-imposed restrictions. In the event of delay, supply shall take place as soon as reasonably feasible.
Complaints Procedure
- All complaints are dealt with equally and fairly. We will respond to all complaints within 2 business days, usually the same day.
- Where possible we aim to resolve all complaints immediately and at the most within two business days.
- Any Buyer details passed to us during this process are kept confidential, and we will keep you fully informed during the complaint process.

Waiver
- The failure of either party to enforce or to exercise at any time or for any period of time, any term of or any right arising pursuant to this agreement does not constitute and shall not be construed as a waiver of such terms or right and shall not affect that party's right later to enforce or to exercise it.
Legal Provision
- In the event of any legal proceedings between the parties, costs will be determined by the court in accordance with the Civil Procedure Rules. Each party will initially bear their own legal costs, unless the court orders otherwise.
Governing Law and Jurisdiction:
- These terms and conditions are governed by the laws of England and Wales.
- For Business Buyers - Both parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.
- For Consumers in England and Wales - Any disputes will be subject to the jurisdiction of the courts of England and Wales.
- For Consumers in Scotland - You may bring proceedings in either the Scottish courts or the courts of England and Wales.
- For Consumers in Northern Ireland - You may bring proceedings in either the Northern Ireland courts or the courts of England and Wales.
- For Consumers in other jurisdictions - You retain any mandatory consumer protection rights available in your country of residence and may bring proceedings in your local courts if permitted by local law.
Price Match
- The product offered by the competitor's website must be exactly the same as the one sold by the Seller and be offered on the same terms.
- The product on the competitor's website must be in stock and available for delivery immediately.
- Price match requests must not be from auction or marketplace websites - including but not limited to Amazon and eBay.
- Price matching applies only to UK-based competitors with websites allowing online purchases, and only for orders being delivered to UK addresses.
- For international orders, price matching is not available due to varying tax, duty, and shipping implications across different countries.
- The Seller must have the product in stock.
- The Seller's representatives must be able to confirm the details on the competitor's website.
- Our price match policy applies to computer memory (RAM) products only, not delivery or other products and services.
- We can only accept a price match request before you complete your purchase.
- We reserve the right not to price match if the item is below our cost price.
Promotion/Voucher Codes
- Promotion codes are valid on mrmemory.co.uk only, and only one code can be used per order.
- Promotion codes are not valid in conjunction with any other promotions or sale items.
- In the event of any returns meaning that the order no longer qualifies for the promotion advertised, the Seller reserves the right to deduct the value of the offer from the refund.
- Where the promotion is not for a specific product or service and the promotion remains valid after an item or items have been returned, the value of the discount applied on that order will be spread between the goods proportionately. The sum in cash exceeding this value, less any shipping costs charged on the original order, will be returned to the customer.
- If you place an order using a promotion code for free or discounted delivery, but you return any item purchased as part of that order and as a result the value of your order falls below the threshold specified for the promotion, we may make a deduction from you for the delivery charge that would have been payable had you not used the promotion code.
- Unless otherwise stated, Promotion codes for free or discounted delivery apply to UK mainland delivery only and may be subject to package size and weight restrictions.
