  1. Definitions

    1. The "Seller" means Americanino Limited T/As Mr Memory.
    2. The "Buyer" means any person, company or organisation who buys or has agreed to buy Goods from the Seller.
    3. The "Goods" or "Product" means Goods provided by the Seller in accordance with the Seller's standard Terms and Conditions of sale.
  2. General

    1. The purchase of Goods through this website is governed by these terms and conditions. By accessing the site, you agree to be bound by these terms and conditions.
    2. The information contained within this website and online store are, to the best of our knowledge, correct at the time of publishing. Whilst every effort is made to ensure the prices and details are accurate the Seller reserves the right to change, modify, substitute or remove without notice any information on this site.
    3. The Goods supplied from this website have been supplied by Americanino Limited T/As Mr Memory, (mrmemory.co.uk). Americanino Limited is a limited company and registered in England (Reg. Number 02012072). The registered office address is: D3 Yeoman Gate, Yeoman Way, Worthing, West Sussex, BN13 3QZ, UK.
  3. Orders and acceptance of orders there of

    1. After you place an order, the Seller will determine whether to accept and fulfil the order, and the Seller may refuse or limit your order for any reason. By placing an order, you agree to accept all terms and conditions shown anywhere on this site, including the Seller's standard terms and conditions of sale. The Seller reserves the right to accept, refuse, or limit your order for any reason, including, but not limited to, credit review, the unavailability of a product or errors in the prices and product descriptions shown on this website (mrmemory.co.uk).
  4. Delivery

    1. Delivery times quoted are only estimates, and the Seller shall not be liable for any delays howsoever caused.
    2. Unless otherwise specifically stated in writing all risk in the product shall pass to the Buyer or its appointed agent at the time of delivery.
    3. The Buyer has 21 calendar days to advise the Seller of non-delivery. If notification is received within 21 calendar days a joint decision will be made between the Buyer and the Seller on how to proceed. After 21 calendar days, it is deemed by both sides (the Buyer and the Seller), that the goods have been delivered and the transaction is complete. The Seller will not be liable for non-delivery of the goods when notification has not been received from the Buyer within 21 calendar days: After this time, no replacements will be dispatched, or refunds will be issued.
    4. The Seller will not be held liable for non-delivery of goods due to an incorrect address being provided at point of order. In this instance, please see "Section 5. Damage or Lost in Transit".
    5. Free UK Delivery applies to online/website orders only. Orders placed via other methods will incur a delivery/admin charge.
  5. Damage or Loss in Transit

    1. Goods are shipped via Royal Mail or on an overnight courier service, which includes insurance cover against loss and damage during transit. Once the goods have been received and signed for, this insurance cover is no longer effective; responsibility is then passed to the signatory. The Buyer should check the condition of the delivery before signing.
    2. Any damage to received goods should be notified in writing within three days of receipt.
    3. The Seller will not be held liable for claim, whether arising in contract, tort or otherwise for the consequential, economic, special or other indirect loss, due to damages or loss in transit.
    4. The Seller will not be held liable for loss of goods due to an incorrect address being provided at point of order.
    5. Any refunds requested by the buyer for non-delivery of their order due to an incorrect address being entered will only be processed as and when the goods are received back by the Seller. Furthermore, the Seller will not be liable if the goods are deemed to be completely lost as a result of the incorrect address being stated.
    6. When the Buyer selects a signed for delivery service and there is no signee at the delivery address the Seller cannot be held liable for any additional delivery costs incurred by the delivering company. This cost will be payable by the buyer.
    7. For undelivered shipments sent with Royal Mail to a UK address, the Seller is unable to take further action until 10 working days have passed since the date of dispatch.
    8. For undelivered shipments sent with Royal Mail to an address outside the UK, the Seller is unable to take further action until 14 working days have passed since the date of dispatch.
    9. For undelivered shipments sent using a courier service, the Seller will take action as soon as the guaranteed or estimated delivery time for the chosen service has passed.
  6. Payments

    1. All goods must be paid for with the order, unless prior arrangements have been made. We reserve the right to refuse delivery if payment is not made. All goods remain the property of the Seller until payment is made in full. All rights including without limitation copyright, design and trademark rights on the website are owned by the Seller.
    2. The credit terms (if offered) are 30 days net from the date of invoice.
      1. Where payment is not made in accordance with the terms above hereof, the Buyer shall pay interest on any unpaid amounts calculated at 3% above Lloyds Bank PLC's base rate for the time being in force calculated on a daily basis.
      2. The Seller reserves the right to suspend deliveries where payment is not received in accordance with these Terms and Conditions of Sale.
      3. The Seller reserves the right at the Seller's complete discretion to refuse to establish a credit account for any Buyer, to refuse credit to a Buyer, notwithstanding that a credit account may already have been established, and to withdraw credit account facilities. Without prejudice to the Sellers other rights.
      4. The Seller reserves the right to charge £20.00 for all unpaid items either returned or represented at the company's bank. Any outstanding account will become immediately due for payment.
    3. Where the Buyer alleges that any use of the Payment Card was not authorised by him, it is for the card issuer to prove that the use was so authorised.
  7. Prices

    1. Unless otherwise stated or selected, any product prices quoted by the Seller, shown on mrmemory.co.uk and subsequent emails are:
      1. Exclusive of value added tax.
      2. Exclusive of carriage, duties, customs, insurance and other related charges – for which the Buyer is liable, not the Seller.
    2. The Seller is required by law to collect VAT (Value Added Tax).
      1. Delivery charges are subject to VAT as this includes processing and packaging costs.
      2. The rate of VAT charged is determined by tax regulations applicable to the delivery country.
      3. Unless stated, import tax and duty is not collected by the Seller. The courier or your local postal service will contact you for payment of any import tax and duty due before releasing your order for delivery.
    3. The Seller shall charge extra in respect of these items:
      1. Prices to the Buyer are subject to change without notice after the date of Sellers acceptance of Buyer's order where Seller has incurred increased costs due to currency exchange rate change, import duty change, increased freight charges, increased prices from supplier or surcharges.
      2. Where the Buyer does not adhere to agreed call-offs, the Seller reserves the right to amend the price structure in accordance with the quantities delivered.
    4. The Seller retains the right to alter website advertised prices: A lower price may be offered if trying to secure business by beating a competitors price: A higher price may be charged if supplying an alternate/specific manufacturer, this may be in relation to fulfilling a request for brands such as HP, IBM or Kingston branded memory, or for matched memory (individual and kits) in relation to specific brands such as Dell, Fujitsu-Siemens, Apple etc. of a higher specification (including chipsets like 64x8 / 128x8, latency, bedded or unbedded chips, profile) than those listed on our website.
    5. In any event the Seller retains the right to invoice at the price ruling at the time of delivery.
      1. Once the goods are delivered and the invoice(s) have been paid in full all prices relating to the supply of the goods contained within the said invoice(s) will be accepted in full.
      2. If prices are queried this must be brought to the Sellers attention before the invoice has been paid, if this is not carried out and the invoice has been paid without notification to the Seller the contract will have been deemed to be complete on both sides.
    6. The Seller reserves the right to amend prices to correct errors or omissions. All website advertised prices are an 'offer to treat' and may be altered depending on the Buyers requirements.
    7. Any price list, catalogue, newsletters, advertising matter, quotations or similar materials issued by the Seller are intended only as an indication as to price and range of products available and information therein shall be subject to alteration without notice. Goods will be invoiced at prices ruling at the time of delivery.
  8. Title and Risk

    1. Notwithstanding delivery and passing of risk, the property of the Goods shall not pass to the Buyer until the Seller has received all monies owed by the Buyer under this or any other contract.
    2. Until such time as the property of the Goods passes to the Buyer, the Buyer shall hold the Goods as the Sellers Fiduciary Agent and shall keep the Goods properly stored, protected and insured and identified as the Seller's property and bear the costs thereof.
    3. In the event of termination of this agreement by reason of non-payment by the Buyer of amounts due under this contract or any other contract between the Buyer and the Seller made prior to the date of this contract, the Seller shall be entitled at any time to require the Buyer to return the Goods to the Seller, and if the Buyer fails to do, to enter any premises of the Buyer for the purpose of repossessing the Goods.
  9. Cancellations

    1. In line with 'The Consumer Contracts (Information, Cancellation and Additional Charges) Regulations', you, the Buyer are entitled to cancel your order without providing a reason within 14 calendar days from the day after delivery of the goods. For all Computer Memory (RAM) upgrades Mr Memory offer an extended cancellation period allowing you to cancel your order for any reason within 100 days of receiving your order. You can examine the goods as you would in a shop but to obtain a full refund you must not start using them, install them or input any data/software. The goods must be in as new condition and returned in the original, undamaged packaging, along with any accessories and free gifts received with them. DVDs, CDs, memory cards and software packaging must be sealed. Any software activation keys must be unused.
    2. The cancellation period starts from the day after you acquire, or a third party indicated by you (other than the carrier) acquires, physical possession of the Goods.
      1. The Buyer may cancel their order by sending by post or email a WRITTEN notice of cancellation to the Contact details shown at the bottom of this document.
      2. A cancellation form is also provided on the mrmemory.co.uk website.
      3. The Buyer may cancel by telephone, if that was the original method of placing the order.
    3. Exceptions to the right to cancel include:
      1. Goods that have been made to the Buyers specifications or clearly personalised or modified by the Seller or Buyer.
      2. Supply of Goods that are dependent on fluctuations in the financial market, which cannot be controlled by the Seller.
    4. The Buyer must not delay the returns and must send the goods back not later than 14 days from the date of informing of cancellation.
    5. The Buyer must obtain an RMA (Return Merchandise Authority) number from the Seller, so that incoming returns can be identified.
    6. Details of the return's procedure will be given to the Buyer, with the RMA number, which will include how and where to return the order to.
    7. If you exercised your right to cancel the order for a refund, any money you have paid for your order will be refunded upon receipt of the goods at Americanino Limited registered address, no later than 14 days from receiving the Goods back. For orders delivered to the UK or EU only, the refund amount will include the cost of the product plus the delivery charge paid (except for the additional costs arising if you selected a type of delivery other than the least expensive type of standard delivery offered by us).
    8. All refunds will be issued to the payment card or PayPal account that appears on the original invoice.
    9. Refunds via BACS transfer will incur extra charges. We will make you aware of this before any refund is made.
    10. You, the Buyer, have a duty to take reasonable care of the Goods whilst in your possession. We, the Seller, may make a deduction from the reimbursement for loss in value of Goods supplied, if the loss is the result of unnecessary handling by you.
    11. The Buyer shall return the Goods at their own cost, unless otherwise instructed by the Seller.
    12. Goods should be returned to the address shown at the bottom of this document.
  10. Defective Goods

    1. The liability of the Seller is strictly limited to the replacement, repair or credit to the invoiced value of the defective items at the discretion of the Seller. The Seller's maximum liability under or arising from this agreement shall be limited to a sum equivalent to the invoice price of the goods. The Seller shall not be liable for any claim, whether arising in contract, tort or otherwise for the consequential, economic, special or other indirect loss. The Buyer accepts that the limitations and exclusions set out herein are reasonable having regards to all the circumstances including, without limitation, the price of the Goods.
    2. Except otherwise provided in this agreement, all warranties, representations, terms and conditions, whether express or implied, written or oral, are hereby expressly excluded to the fullest extent permitted by law.
  11. Returns Procedure

    1. If any Goods are or become defective in accordance with section (10) herein. The Buyer must obtain an RMA (Return Merchandise Authority) number from the Seller.
      1. The RMA number will be valid for a period of 14 days from the date of issue by the Seller for UK addresses and 21 days for International addresses.
      2. The Buyer may have to bear any losses due to price erosion or obsolescence if Goods are returned after the 14 days (21 for International).
      3. Any Goods returned must have the RMA number marked clearly on the package and must be returned in original packaging or equivalent secure packaging.
      4. The Seller reserves the right to refuse delivery of any Goods returned without an RMA number.
    2. It is the Buyers responsibility to ensure they are ordering the correct products. If the incorrect product has been ordered and the Buyer wishes to return the product after the cancellation period defined in section 9 above, we may accept the goods back at our discretion subject to a minimum restocking fee of 10% of the net cost, or £5.00 (ex VAT), whichever being the greater. The decision to accept a return outside the cancellation period and the restocking fee applied will be based on various factors including an administration fee and any diminished value of the goods, allowing for current market value and the condition of the goods.
    3. A FREEPOST returns address will be provided for Buyers in the UK only. Buyers outside the UK are responsible for return delivery costs unless the reason for return is due to an error by the Seller.
  12. Technical Data, Errors and Descriptions

    1. Every effort will be made by the Seller to ensure accuracy of any technical data or literature made available in relation to the Goods. The Seller accepts no liability for any damage or injury arising from any errors or omissions in the use of such technical data to the Buyer or any third party. No contract can be invalidated due to printing or clerical errors. Any descriptions of Goods are for guidance only and shall not constitute the contract 'sale by description'.
    2. By placing your order, you agree that the Seller's total liability, under any legal theory or claim, shall be limited to the purchase price actually paid to the Seller for the product giving rise to the Seller's liability. Under no circumstances will the Seller be liable to the purchaser of any damage caused to equipment by products supplied by the Seller.
  13. Warranty

    1. The Seller provides a lifetime warranty on RAM Modules (memory modules) against faulty materials or workmanship.
    2. Flash memory, storage devices and any other products are subject to specific manufacturers warranties.
    3. During this period, the Seller will at the Seller's option either refund the price of such Goods or replace or repair such Goods provided that:
      1. The Buyer shall have notified the Seller in writing of the fault or defect in the Goods and shall have returned the faulty or defective goods to the Seller for inspection in accordance with the return's procedure in section (11) herein.
      2. The product has not been misused or handled carelessly.
      3. The product is certified by the company as being defective.
      4. The warranty claim is made by the original Buyer.
      5. The Buyer has not sold or given away the product.
      6. The purchase can be verified by the Seller's records or by a copy of the original invoice.
      7. Any original stickers remain on the Goods.
    4. Goods supplied to the Buyer by the Seller must not be used in any medical or life critical applications by the Buyer or any other third party, without confirmation in writing by the Seller. All other warranties, conditions and statements expressed or implied, statutory or otherwise are excluded. Subject to the aforesaid the Seller shall be under no liability in contract or in tort for any loss, damage, death or injury arising directly or indirectly out of the supply, use or misuse of the Goods, to the Buyer or any other third party.
    5. The products are not authorised for use as critical components in life support devices or systems. Seller specifically disclaims any and all warranties, whether express, implied or statutory, including, but not limited to, the implied warranties of noninfringement, fitness for a particular purpose, or merchantability.
  14. Limitations on Liability

    1. In no event shall the Seller be liable for any punitive, exemplary, special, consequential or incidental damages, including, without limitation, loss of revenue, profits, data, or good will that the Buyer may suffer, directly or indirectly, arising out of or in connection with the purchase, sale, use, performance, or failure of the products, whether such liability arises under contract, tort (including negligence), strict product liability or otherwise, even if the Seller has been advised of the possibility of such damage or if such damage could have been reasonably foreseen. In no event will the Seller's liability to the Buyer arising out of or relating to these terms and conditions of sale exceed the amount of the purchase price paid to the Seller by the Buyer for the product that gives rise to the claim.
    2. The Seller shall not be held liable for any costs incurred by the use of external support services by the Buyer.
  15. Force Majeure

    1. The Seller and the Buyer shall be excused from failure or delivery in performance hereunder if such failure or delay is attributable to causes beyond their control, which makes such delivery of Products commercially impractical. Such causes may include, Acts of God, acts of war, riots, epidemics, fires, floods, strikes or labour disputes, inabilities to obtain materials, failures or delays in transportation. In the event of delay, supply shall take place as soon as reasonably feasible.
  16. Complaints Procedure

    1. All complaints are dealt with equally and fairly. We will respond to all complaints within 2 business days, usually the same day.
    2. Where possible we aim to resolve all complaints immediately and at the most within two business days.
    3. Any Buyer details passed to us during this process are kept confidential, and we will keep you fully informed during the complaint process.

  17. Waiver

    1. The failure of either party to enforce or to exercise at any time or for any period of time, any term of or any right arising pursuant to this agreement does not constitute and shall not be construed as a waiver of such terms or right and shall not affect that party's right later to enforce or to exercise it.
  18. Legal Provision

    1. If you engage in court proceedings with the Seller for whatever reason i.e. supplier/employee, and you engage the CEO (Kerry Pope) to work on behalf of the Seller, she will charge £1,000 per day plus expenses to defend the court proceeding.
    2. If the judgement goes in favour of the Seller, you will be personally / company liable for all costs incurred in the action.
    3. We will recover the costs via invoice to yourselves/your company or instruct bailiffs to recover the monies owed or outstanding.
    4. The construction, validity and performance of this Agreement is governed by the law of England and the parties submit to the jurisdiction of the English courts.
  19. Competition Rules

    1. These terms relate to the Mr Memory website (mrmemory.co.uk) and all external site pages owned by Americanino Limited (T/A Mr Memory). These include (but are not limited to) - Facebook, Twitter, Google+, Pinterest, Tumblr and YouTube.
    2. Competitions are not open to current employees of Americanino Limited.
    3. Winners are picked at random, using independent competition software (unless otherwise stated).
    4. The competition is open to participants over 18 and within the UK only (unless otherwise stated).
    5. There is no cash or voucher prize alternative.
    6. In the event of a prize being unavailable, the Seller reserves the right to offer an alternative prize of equal or greater value.
    7. Winners will be notified via the site that the competition was originally listed, and the prize will be posted as soon as the Seller is informed of the winner's contact details.
    8. All competitions close at midnight on the specified date, unless otherwise stated.
    9. Prizes must be claimed within 30 days of the closing date. Failure to respond and/or provide an address for delivery, or failure to meet the eligibility requirements may result in forfeiture of the prize.
    10. Competitions may be modified or withdrawn at any time.
    11. The original competition details will clearly list:
      1. What prize is on offer.
      2. How the participant can enter.
      3. The closing date of the competition.
  20. Price Match

    1. The product offered by the competitor's website must be exactly the same as the one sold by the Seller and be offered on the same terms.
    2. The product on the competitor's website must be in stock and available for delivery immediately.
    3. Price match requests must not be from auction or marketplace websites - including but not limited to Amazon and eBay.
    4. The competitor must be based in the UK and must have a website allowing the product to be purchased online.
    5. The Seller must have the product in stock.
    6. The Seller's representatives must be able to confirm the details on the competitor's website.
    7. Our price match policy applies to computer memory (RAM) products only, not delivery or other products and services.
    8. We can only accept a price match request before you complete your purchase.
    9. We reserve the right not to price match if the item is below our cost price.
  21. Promotion/Voucher Codes

    1. Promotion codes are only valid for orders placed on mrmemory.co.uk and only one promotion code can be used per order.
    2. Promotion codes are not valid in conjunction with any other promotion. Offer is not valid on sale items or other discounted items. Any exceptions to this will be communicated in writing.
    3. In the event of any returns meaning that the order no longer qualifies for the promotion advertised, the Seller reserves the right to deduct the value of the offer from the refund.
    4. Where the promotion is not for a specific product or service and the promotion remains valid after an item or items have been returned, the value of the discount applied on that order will be spread between the goods proportionately. The sum in cash exceeding this value, less any shipping costs charged on the original order, will be returned to the customer.
    5. If you place an order using a promotion code for free or discounted delivery, but you return any item purchased as part of that order and as a result the value of your order falls below the threshold specified for the promotion, we may make a deduction from you for the delivery charge that would have been payable had you not used the promotion code.
    6. Unless otherwise stated, Promotion codes for free or discounted delivery apply to UK mainland delivery only and may be subject to package size and weight restrictions.
    7. Promotion codes are not transferable and are not valid for the purchase of gift cards or gift vouchers. There is no cash alternative.
    8. The Seller reserves the right to decline to accept orders where, in its opinion, a promotion code is invalid for the order being placed. Promotion codes and related offers are not open to employees of the Seller, and we reserve the right to withdraw them and refuse or restrict any order at any time.
    9. Promotion codes are, and remain at all times, the property of the Seller.
    10. The right to use a Promotion code is personal to the original recipient and may not be transferred. No promotion code may be copied, reproduced, distributed, or published directly or indirectly in any form or by any means for use by an entity other than the original recipient, or stored in a data retrieval system, without the prior written permission of the Seller.
    11. Promotion codes distributed or circulated without the written approval of the Seller, for example on an Internet message board or on a "bargains" website, are not valid for use and may be refused or cancelled.

Terms of use of the Mr Memory website

  1. General

    1. The owner of this website is Americanino Limited (trading as Mr Memory). By using this website, you agree to be legally bound by the act in accordance with these Terms of Use and by all other applicable provisions; in particular you agree not to do the acts prohibited in the sections below. If you disagree with these Terms of Use and / or with any other of the applicable provisions, you are not permitted to, and agree not to, use this website.
  2. Permitted Use

    1. You are not permitted to use this website other than for the following, private, non-commercial purposes:
      1. Viewing this website.
      2. Placing orders.
      3. Transferring to other websites through links provided on this website.
      4. Making use of other facilities that may be provided on the website.
    2. Use of any automated system or software to extract data from this website or other platform operated by Americanino Limited for commercial purposes ('screen scraping', 'data mining', 'data harvesting', 'web scraping', 'data extraction') is prohibited and will be subject to legal action.
    3. You must not use our website for anything which we the owner may constitute cause, or possible cause of damage to the website, or preventing availability or accessibility of the website.
    4. You must not use our website in any way which is unlawful, illegal, fraudulent or harmful, or in connection with any unlawful, illegal, fraudulent or harmful activity.
    5. Americanino Limited actively monitors traffic for click fraud. If Americanino Limited detects click fraud, access to the Mr Memory website will be blocked and legal action will be taken. Americanino Limited will request a detailed click fraud daily report from each search engine as required, to substantiate our legal claim. All click fraud and legal costs we have incurred will be recovered.
    6. Fraudulent activity includes but is not limited to; Traffic from click bots or any other type of automated traffic generator, excessive traffic from the same individual, company or group, clicks on any paid advert or listing, including but not limited to repeated manual clicks, the use of robots or other automated query tools and/or computer-generated search requests.
    7. You must not publish / post / distribute any such material which is (or is linked to) any malicious items intended to harm the Mr Memory website; these could contain such things as spyware, computer virus, Trojan horse, keystroke logger and rootkit (amongst others).
    8. You must not use our website to transmit or send unsolicited commercial communications, nor use the website for any reasons related to marketing without receiving prior express written consent.
  3. Intellectual Property

    1. All information, data and materials presented on this website (code-named Sequoia), including databases, names, logos, pictures, as well as the colour scheme and the design/layout of the website is owned by Americanino Limited or used with permission of the owner or sourced from the public domain and is protected by copyright, trademark and database rights. These include The Copyright and Rights in Databases Regulations of 1997, European Union passed Directive No. 96/9/EC of 11 March 1996 on the legal protection of databases and other relevant global intellectual property rights.
    2. Any other use and/or reproduction of the information, data, materials, or of the colour scheme or design/layout of the website, without prior written consent of Americanino Limited, is prohibited and will constitute a breach of these terms and conditions and will infringe Americanino Limited's intellectual property rights.
    3. Americanino Limited reserves its right to take such action as it considers necessary, including issuing legal proceedings without further notice to you, in relation to any unauthorised use of this website.
    4. Since 2017 we have added several false computer models to the Mr Memory website. These models allow us to prove if an individual or organisation has used our data illegally and have already identified a competitor using our data. We continue to monitor this very closely.
    5. If Americanino Limited proves that you or your company/organisation have taken, extracted or stolen any data from the Mr Memory website or other platform operated by Americanino Limited, which is then published on your company/organisation's website or other platform (e.g. eBay or Amazon) for professional and commercial means of making profit without permission from Americanino Limited, the following action will be taken:
      1. Your company/organisation and its directors will be held responsible for all legal costs, expenses, commercial losses, consequential damages and liabilities incurred;
      2. If you publish our data on any website or platform (including international versions ending with .fr, .es, .de, .ie, .it, .nl, .com, .co.uk etc, marketplace platforms such as Google Shopping, eBay or Amazon and advertising/PPC platforms such as Google Ads) we will invoice you £100,000 plus VAT for each website/platform we prove this data appears on;
      3. If the invoice is not paid within 21 days, we will begin legal/criminal proceedings against you or your company/organisation and its directors. Interest will be added to the amount at 5% per month.
    6. We take the theft of our intellectual property very seriously and will take appropriate action. If you would like to purchase or rent our computer upgrade data, please contact our CEO, Kerry Pope on 01903 692 214.
  4. Registered Trademarks
